2. Reseller Eligibility: You confirm that you meet the eligibility criteria to become a reseller, including legal age and compliance with any local laws or regulations.

3. Marketing and Promotion: As a reseller, you agree to promote QuickMenu’s products and services in a professional and ethical manner. You will not engage in any misleading or deceptive marketing practices.

4. Referral Commission: You understand and accept that you will receive a commission of 25% on the subscription fees of each referred restaurant, bar, or hotel that signs up through your unique referral link.

5. Commission Payments: Commission payments will be processed on a monthly basis, subject to reaching the minimum payout threshold as specified by QuickMenu. You are responsible for providing accurate payment information to receive your commissions.

6. Confidentiality: You agree to keep all confidential information shared by QuickMenu, including pricing, marketing strategies, and client details, confidential and not disclose it to any third parties.

7. Intellectual Property: All intellectual property rights, including trademarks, logos, and promotional materials, belong to QuickMenu. You are granted a limited, non-exclusive license to use these materials solely for promoting QuickMenu’s products and services.

8. Termination: QuickMenu reserves the right to terminate the reseller partnership if you violate any of the terms and conditions outlined in this agreement or engage in any activities that harm the reputation or interests of QuickMenu.

9. Indemnification: You agree to indemnify and hold QuickMenu harmless from any claims, liabilities, damages, or expenses arising from your actions as a reseller or any breach of these terms and conditions.

10. Governing Law: This agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Nigeria.
